1. ACCEPTANCE OF TERMS

By accessing or using The Idea Convention ("Platform", "Service", "we", "us", or "our"), operated by The Idea

Convention LLC, a North Carolina limited liability company, you ("User", "you", or "your") agree to be bound

by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not

agree to these Terms, do not use our Service.

Age Requirement: You must be at least 13 years old to use this Service. By using the Service, you represent

and warrant that you are at least 13 years of age.

2. DESCRIPTION OF SERVICE

The Idea Convention is a collaborative platform where users can:

- Share innovative ideas and concepts

- Collaborate with other users on idea development

- Build a portfolio of contributions and references

- Connect with like-minded innovators

3. USER ACCOUNTS

3.1 Account Creation

- You must provide accurate and complete information (first name, last name, username)

- One account per email address is permitted

- You are responsible for maintaining account security

- You must notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate accounts that:

4.2 License to The Idea Convention

By posting content, you grant us a worldwide, non-exclusive, royalty-free license to:

- Store and backup your content

4.3 Commercialization

- We will not commercialize your ideas without your explicit written consent

- If commercialization opportunities arise, we will contact the original idea owner first

- Any commercialization agreements will be separate from these Terms

4.4 Content Deletion

- You may delete your ideas at any time

- We are not responsible for any collaborative work affected by content deletion

- Deleted content may persist in backups for a reasonable period

5. COLLABORATION AND DISPUTES

5.1 User-to-User Interactions

- All collaboration agreements are between users

- We do not govern ownership of collaborative improvements

- Users should establish ownership agreements before collaborating

- The original idea poster is presumed the primary owner unless otherwise agreed

5.2 Dispute Resolution Between Users

- We are not responsible for resolving disputes between users

- We do not mediate ownership or collaboration disagreements

- Users are encouraged to seek independent legal counsel for disputes

6. PROHIBITED CONDUCT

You agree not to:

- Post content that is illegal, harmful, threatening, abusive, harassing, defamatory, or offensive

- Violate any intellectual property rights of others

- Impersonate any person or entity

- Post spam, advertisements, or promotional content without permission

- Attempt to gain unauthorized access to our systems

- Use the Service for any illegal purpose

- Post ideas you know to be patented or copyrighted by others without permission

7. CONTENT MODERATION

- We use automated tools to review content before posting

- Users may report inappropriate content or behavior

- We reserve the right to remove content that violates our policies

- Moderation decisions are made on a case-by-case basis

8. REFERENCES AND CREDENTIALS

8.1 Reference System

- References are provided by users to build credibility within the Platform

- We do not verify the accuracy of references or user credentials

- Users should conduct their own due diligence

8.2 No Employment Guarantees

- References are not employment recommendations

- We make no representations about career outcomes

- Users use references at their own risk

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR

IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY , FITNESS

FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Responsibility for:

- Patent or copyright infringement by user content

- Accuracy of user information or credentials

- Success or failure of collaborations

- Career or business outcomes

- User-to-user interactions outside the Platform

- Lost or corrupted data

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE IDEA CONVENTION LLC SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,

OR ANY LOSS OF PROFITS OR REVENUES.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless The Idea Convention LLC, its officers, directors, employees,

and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

- Your use of the Service

- Your violation of these Terms

- Your violation of any rights of another party

- Your content or ideas

11. INTELLECTUAL PROPERTY INFRINGEMENT

If you believe your intellectual property rights have been infringed:

4. REPEAT INFRINGER POLICY

Accounts with repeated copyright violations will be terminated.
